1. About these terms

These terms explain the rules for accessing and using the ShowArc website.

They apply to:

  • creator application, enquiry and support forms operated by ShowArc;

  • downloadable materials made available through the website; and

  • any other ShowArc-operated webpage or online service that links to these terms.

In these terms, these websites, pages, forms and materials are collectively referred to as the “Website”.

By accessing or using the Website, you agree to comply with these terms. If you do not agree with them, you should stop using the Website.

These terms apply to use of the public Website only. They do not, by themselves, create a creator-management, employment, worker, agency, partnership, joint-venture, commission, subscription or other commercial relationship between you and ShowArc.

A separate Creator Agreement or other written agreement will apply where you are accepted into ShowArc or take part in a specific service, campaign or commercial arrangement.

ShowArc Creator Network Ltd is a private company limited by shares.

In these terms, “ShowArc”, “we”, “us” and “our” refer to ShowArc Creator Network Ltd.

3. About ShowArc

ShowArc is a UK-focused creator network that supports people developing their presence on TikTok LIVE.

Our purpose is to help promising creators build stronger LIVE shows, more engaged communities and sustainable commercial opportunities through practical coaching, performance insight and dedicated support.

Support may include:

  • LIVE show planning and development;

  • creator education and coaching;

  • performance review and insight;

  • technical guidance;

  • account and policy guidance;

  • community development;

  • responsible monetisation guidance;

  • campaign or collaboration preparation; and

  • wider commercial readiness.

The type and level of support available may vary depending on:

  • the creator’s circumstances and development needs;

  • activity and performance;

  • programme capacity;

  • territory;

  • account status;

  • TikTok eligibility;

  • platform availability; and

  • any separate agreement between the creator and ShowArc.

Information on the Website is general information. It is not a promise that any particular service, feature, support route or outcome will be available to every person.

4. Our relationship with TikTok

TikTok is a third-party platform operated independently from ShowArc.

ShowArc does not own or control:

  • TikTok’s platform, systems or infrastructure;

  • TikTok’s algorithms or content distribution;

  • account moderation or enforcement decisions;

  • account suspensions or restrictions;

  • creator eligibility requirements;

  • feature availability;

  • monetisation decisions;

  • campaign selection;

  • appeals or appeal outcomes;

  • account reinstatement;

  • payment of creator earnings; or

  • changes to TikTok’s terms, policies or systems.

References on the Website to TikTok, TikTok LIVE, LIVE Studio, stream keys, Diamonds, Gifts or other TikTok products and features describe the platform and services relevant to creators.

Unless expressly stated and properly authorised, those references do not mean that TikTok endorses, guarantees or accepts responsibility for ShowArc, the Website or any ShowArc service.

TikTok names, logos, products and trade marks belong to their respective owners.

5. Website information is not TikTok policy

ShowArc may explain or summarise platform requirements to help creators understand them.

However:

  • TikTok’s current published policies and official communications take priority over any general Website explanation;

  • platform policies and features may change;

  • eligibility may differ by account, territory or programme;

  • information may become outdated after it is published; and

  • TikTok remains responsible for interpreting and enforcing its own policies.

You should review the current TikTok terms, policies and in-app information that apply to your account.

Where you identify information on the Website that may be inaccurate or out of date, contact us at info@showarc.live.

6. Creator applications

Submitting a creator application is an expression of interest only.

It does not create a contract or guarantee:

  • acceptance by ShowArc;

  • an invitation to join a creator network;

  • successful onboarding through TikTok;

  • access to a particular service;

  • access to TikTok support;

  • access to monetisation or platform features;

  • account reinstatement;

  • campaign selection;

  • increased views, followers or engagement;

  • Gifts, Diamonds or earnings; or

  • any other platform or commercial outcome.

You must not submit an application unless you meet the minimum age, location and other eligibility requirements stated in the relevant application form.

When applying, you must provide information that is accurate, current and complete to the best of your knowledge.

You must not:

  • apply using another person’s identity without their authority;

  • falsely claim ownership or control of a TikTok account;

  • provide fabricated account, audience or performance information;

  • conceal an existing creator-network relationship when that information is requested;

  • submit information that you know is false or misleading; or

  • use the application process for an unlawful or fraudulent purpose.

We may:

  • assess the information you provide;

  • request additional information;

  • carry out reasonable eligibility and account-availability checks;

  • pause an application;

  • decline an application; or

  • close an incomplete, misleading or unsuitable application.

A formal creator relationship begins only after any required checks and platform steps have been completed and the relevant parties have accepted a separate Creator Agreement.

7. No guarantee of acceptance

ShowArc is not required to accept every applicant.

Application decisions may consider factors such as:

  • eligibility;

  • creator conduct;

  • LIVE activity;

  • content suitability;

  • willingness to develop;

  • community approach;

  • policy history;

  • available support capacity;

  • territorial restrictions; and

  • compatibility with ShowArc’s creator standards.

A decision not to proceed does not necessarily mean that the applicant lacks talent or future potential.

ShowArc may be unable to provide detailed internal assessment information where doing so would disclose confidential processes, third-party information, security controls or another person’s personal information.

8. Fees, commissions and paid services

These Website Terms do not, by themselves:

  • charge an application fee;

  • create a subscription;

  • require a creator to purchase a service;

  • authorise ShowArc to take money from a creator;

  • authorise a deduction from TikTok earnings;

  • create a commission or revenue-sharing arrangement;

  • grant ShowArc ownership of creator content; or

  • transfer commercial usage rights.

Any fee, commission, payment arrangement, content licence, revenue share, campaign payment or optional paid service must be explained separately before it applies.

Any optional paid service must be:

  • clearly identified;

  • explained in plain language;

  • genuinely optional;

  • supported by appropriate written terms; and

  • separate from any free support unless otherwise clearly agreed.

You should not make a payment to anyone claiming to represent ShowArc unless the request:

  • comes through an approved ShowArc process;

  • clearly identifies ShowArc Creator Network Ltd;

  • explains what the payment is for;

  • states the amount and any applicable taxes; and

  • is supported by written terms or a valid invoice.

Contact info@showarc.live before making payment if you are unsure whether a request is genuine.

9. Your TikTok account remains under your control

You remain responsible for:

  • your TikTok account;

  • your account-security settings;

  • the content you publish or stream;

  • your conduct;

  • your devices;

  • your login credentials; and

  • compliance with applicable TikTok rules.

ShowArc does not require ownership of your TikTok account.

ShowArc will never ask you to provide:

  • your TikTok password;

  • an authentication or verification code;

  • your personal email password;

  • your online-banking password;

  • a payment-card PIN;

  • your device passcode; or

  • any other private login credential.

Do not provide this information through:

  • an application form;

  • the contact form;

  • email;

  • direct message;

  • messaging application;

  • telephone call; or

  • any other communication claiming to be from ShowArc.

Where TikTok provides an official invitation, authorisation or account-connection process, follow the instructions presented directly through the relevant TikTok system.

If someone claiming to represent ShowArc asks for a password or authentication code, stop communicating with them and report the incident through www.showarc.co.uk/contact or info@showarc.live.

10. Account support and platform escalation

ShowArc may provide account or policy guidance.

Where appropriate and available, ShowArc may also raise certain matters using support or escalation routes available to it.

However, ShowArc cannot guarantee:

  • that TikTok will accept or review a request;

  • a response from TikTok;

  • a response within a particular period;

  • removal of a violation;

  • reversal of an enforcement decision;

  • restoration of an account;

  • removal of an account restriction;

  • access to LIVE Studio;

  • access to a stream key;

  • access to OBS broadcasting;

  • access to monetisation;

  • access to a campaign;

  • access to account-management features; or

  • any other platform outcome.

TikTok remains responsible for its platform decisions.

ShowArc’s willingness to provide guidance or raise an issue does not mean the requested result is within ShowArc’s control.

11. No guarantee of performance or earnings

Creator performance varies and depends on many factors outside ShowArc’s control.

ShowArc does not guarantee:

  • views;

  • followers;

  • reach;

  • recommendation distribution;

  • engagement;

  • audience retention;

  • Gifts or Diamonds;

  • income;

  • profit;

  • campaign invitations;

  • brand partnerships;

  • creator status;

  • account growth;

  • TikTok support; or

  • any other financial, commercial or platform result.

Coaching, performance information, examples and case studies are intended to support learning and informed decision-making.

Past performance does not guarantee future results.

Creators remain responsible for their own:

  • creative decisions;

  • business decisions;

  • legal compliance;

  • tax affairs;

  • financial decisions; and

  • professional advice.

Nothing on the Website constitutes legal, tax, accounting, financial, employment, medical or investment advice.

You should obtain advice from an appropriately qualified professional where your circumstances require it.

12. ShowArc’s creator-first principles

ShowArc aims to provide support that is transparent, responsible and evidence-led.

Our creator-facing approach includes:

  • creators retaining control of their accounts and content;

  • no requests for passwords or authentication codes;

  • no guarantee of views, followers, earnings or account reinstatement;

  • evidence-led coaching rather than unsupported promises;

  • no pressure to enter unsuitable battles;

  • no pressure to join unsuitable campaigns;

  • no coercive or deceptive gifting practices;

  • clear commercial and content-usage terms;

  • a reasonable route for complaints and concerns; and

  • attention to creator wellbeing and sustainable development.

These principles do not override any separate Creator Agreement, but the Creator Agreement should be interpreted consistently with them unless the agreement clearly and lawfully states otherwise.

13. Creator responsibilities

Creators remain responsible for:

  • the content they create and publish;

  • how they communicate with viewers and other creators;

  • protecting their accounts and devices;

  • following applicable TikTok rules;

  • complying with applicable laws;

  • respecting intellectual-property rights;

  • respecting privacy and data-protection rights;

  • providing accurate information to ShowArc;

  • acting responsibly around Gifts and monetisation;

  • reporting material account or policy concerns promptly; and

  • considering their own health and wellbeing.

You must not use ShowArc’s Website or services to support:

  • coercive gifting;

  • deceptive monetisation;

  • pressure on viewers to send Gifts;

  • false claims about rewards or financial need;

  • abusive, exploitative or discriminatory conduct;

  • fraud;

  • unlawful content;

  • intellectual-property infringement;

  • privacy violations; or

  • conduct that creates an unreasonable risk of harm.

More detailed creator standards may be provided through onboarding materials, policies or a Creator Agreement.

14. Acceptable use of the Website

You may use the Website only for lawful purposes.

You must not use the Website:

  • unlawfully or fraudulently;

  • to impersonate another person or organisation;

  • to misrepresent your relationship with ShowArc;

  • to submit false, misleading or malicious information;

  • to harass, threaten, intimidate or abuse another person;

  • to infringe intellectual-property, confidentiality, privacy or data-protection rights;

  • to introduce viruses, malware, ransomware or other harmful code;

  • to interfere with the Website’s security or operation;

  • to attempt unauthorised access to systems, accounts, records or data;

  • to test or probe security without written permission;

  • to scrape, crawl or extract Website content using automated systems without permission;

  • to send spam or unsolicited commercial communications;

  • to overload or disrupt Website infrastructure;

  • to create a misleading copy of a ShowArc page, form or communication;

  • to register or use a confusingly similar ShowArc identity for deceptive purposes; or

  • to suggest that you represent or are endorsed by ShowArc without authority.

We may restrict access to the Website, disregard a submission or take other reasonable action where these rules are breached.

15. Information and materials you submit

You are responsible for information and materials you submit through the Website.

You confirm that, to the best of your knowledge:

  • the information is accurate;

  • you are entitled to provide it;

  • it does not unlawfully infringe another person’s rights;

  • it does not contain malicious code;

  • it does not contain unlawful material; and

  • providing it does not breach a duty of confidentiality.

You retain ownership of original content you submit.

When you submit material for an application, enquiry, assessment or support request, you give ShowArc a limited, non-exclusive permission to access, store, copy and review it only as reasonably necessary to:

  • assess your application;

  • respond to your enquiry;

  • provide requested support;

  • verify relevant information;

  • maintain appropriate business records;

  • investigate misuse or security concerns; and

  • comply with legal obligations.

This limited permission does not give ShowArc the right to use your content in advertising, promotional campaigns, paid media or commercial licensing.

Any broader use of creator content requires separate permission or an appropriate written agreement.

16. Personal information

ShowArc processes personal information in accordance with its Privacy Notice.

Depending on how you interact with us, information may include:

  • your name;

  • contact details;

  • TikTok username;

  • TikTok profile information;

  • application information;

  • LIVE activity information;

  • messages and enquiries;

  • support information; and

  • other information you choose to provide.

The Privacy Notice explains:

  • what information we collect;

  • why we use it;

  • the lawful bases we rely on;

  • who we may share it with;

  • how long we keep it;

  • international transfers where applicable;

  • your data-protection rights; and

  • how to raise a privacy complaint.

Do not submit personal information about another person unless you are entitled to do so.

17. Sensitive, confidential and emergency matters

General application, contact and support forms are not designed for detailed sensitive or highly confidential information.

Unless ShowArc has provided a specific secure process, do not submit through an ordinary Website form:

  • passwords or authentication codes;

  • banking or payment credentials;

  • identity documents;

  • medical records;

  • detailed safeguarding allegations;

  • evidence files concerning serious misconduct;

  • unnecessary information about another person;

  • information about criminal allegations;

  • information that could expose someone to retaliation; or

  • information that could place someone at immediate risk.

Where ShowArc provides a dedicated confidential process, follow the instructions given for that process.

The Website, contact form and email address are not emergency or crisis services.

Where someone is in immediate danger or there is an urgent risk of serious harm, contact the appropriate emergency service or public authority.

18. Complaints and concerns

ShowArc aims to handle complaints fairly, respectfully and without retaliation.

You can raise a complaint through:

Please provide:

  • your name and relevant TikTok username;

  • a clear description of what happened;

  • relevant dates;

  • who was involved;

  • any previous correspondence;

  • the outcome you are seeking; and

  • appropriate supporting evidence.

Do not send passwords, authentication codes or unnecessary sensitive information.

Complaints concerning an existing creator relationship may also be handled under the complaints process in the applicable Creator Agreement.

Some matters may remain subject to TikTok’s own policies, processes and final decision.

19. ShowArc intellectual property

Unless otherwise stated, the Website and its original content are owned by or licensed to ShowArc Creator Network Ltd.

This includes:

  • the ShowArc name;

  • the ShowArc logo;

  • brand assets;

  • graphics;

  • written copy;

  • layouts;

  • downloads;

  • training materials;

  • photographs and illustrations commissioned by ShowArc;

  • design elements; and

  • the Website’s overall presentation.

You may view the Website and print reasonable extracts for personal, non-commercial use.

You must not, without prior written permission:

  • reproduce a substantial part of the Website;

  • copy or redistribute ShowArc materials;

  • modify ShowArc materials and present them as official;

  • sell or commercially exploit ShowArc materials;

  • use the ShowArc name or logo to imply an unauthorised relationship;

  • remove copyright, trade-mark or ownership notices;

  • create misleading copies of ShowArc forms or communications; or

  • use ShowArc materials to train an automated system or commercial dataset.

All rights not expressly granted are reserved.

20. Creator and third-party intellectual property

Creators retain ownership of their original content unless they agree otherwise in writing.

ShowArc will not acquire ownership of creator content merely because:

  • the creator applies to ShowArc;

  • the creator sends ShowArc a link;

  • ShowArc reviews the content;

  • the creator receives coaching; or

  • the content is discussed during support.

Any permission for ShowArc, a brand or another organisation to:

  • repost content;

  • edit content;

  • use content in advertising;

  • use a creator’s name or likeness;

  • licence content;

  • distribute content commercially; or

  • retain content after a campaign

must be addressed through clear separate terms or permission.

Third-party names, logos, content and trade marks remain the property of their respective owners.

21. Links to third-party websites

The Website may contain links to TikTok and other third-party websites, platforms, tools or services.

Links are provided for convenience and information.

ShowArc does not control and is not responsible for a third party’s:

  • availability;

  • content;

  • security;

  • privacy practices;

  • terms;

  • products;

  • services;

  • statements; or

  • decisions.

A link does not necessarily mean that ShowArc endorses the third party or everything appearing on its website.

You should review the third party’s terms and privacy information before using its service.

22. Website availability

We aim to keep the Website available, secure and accurate.

However, we do not guarantee that:

  • the Website will always be available;

  • access will be uninterrupted;

  • the Website will be free from errors;

  • every feature will work on every device;

  • all content will remain available; or

  • every item of information will always be current.

We may update, restrict, suspend or withdraw all or part of the Website where reasonably necessary because of:

  • maintenance;

  • security;

  • technical problems;

  • service changes;

  • legal requirements;

  • suspected misuse;

  • events outside our reasonable control; or

  • changes to ShowArc’s operations.

Where practical, we will seek to minimise unnecessary disruption.

23. Security

We take reasonable steps to protect the Website.

However, no website or electronic communication method can be guaranteed to be completely secure.

You are responsible for:

  • checking that communications are genuine;

  • protecting your login credentials;

  • avoiding suspicious links and attachments.

You must not knowingly introduce malicious code or attempt to bypass Website-security controls.

24. Our responsibility to consumers

Nothing in these terms excludes or limits liability where doing so would be unlawful.

This includes liability for:

  • death or personal injury caused by our negligence;

  • fraud or fraudulent misrepresentation; and

  • legal rights or liabilities that cannot lawfully be excluded.

If you use the Website as a consumer, we are responsible for loss or damage that is a foreseeable result of:

  • our breaking these terms; or

  • our failing to use reasonable care and skill.

Loss or damage is foreseeable where it is obvious that it may happen or where both you and ShowArc knew, when you used the Website, that it might happen.

We are not responsible for loss or damage that:

  • was not reasonably foreseeable;

  • was caused by inaccurate or incomplete information supplied by you;

  • was caused solely by TikTok or another independent third party;

  • resulted from your failure to protect your passwords or devices;

  • resulted from use of the Website for an unlawful purpose; or

  • arose from events outside our reasonable control.

Nothing in these terms affects your mandatory rights under applicable consumer law.

25. Our responsibility to business users

This section applies where you use the Website wholly or mainly for business or professional purposes.

Nothing in these terms excludes or limits liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation; or

  • any liability that cannot lawfully be excluded.

Subject to those exceptions, ShowArc will not be responsible for:

  • loss of profit;

  • loss of revenue;

  • loss of business;

  • loss of anticipated savings;

  • loss of opportunity;

  • loss of goodwill;

  • business interruption; or

  • indirect or consequential loss

arising solely from use of, or inability to use, the public Website.

Different responsibility and liability provisions may apply under a Creator Agreement, campaign agreement, content licence or paid-services agreement.

26. Privacy and cookies

The ShowArc Privacy Notice explains how we handle personal information.

The ShowArc Cookie Notice explains:

  • which cookies and similar technologies are used;

  • why they are used;

  • which cookies are strictly necessary;

  • which cookies require a choice or consent; and

  • how visitors can change their preferences.

These notices should be read alongside these terms.

Submitting an application or enquiry does not automatically subscribe you to marketing.

Where ShowArc asks for marketing permission, it will be presented separately and should be optional.

27. Changes to these terms

We may update these terms where reasonably necessary because of changes to:

  • the Website;

  • ShowArc’s services;

  • ShowArc’s corporate details;

  • applicable law;

  • security requirements;

  • operational processes; or

  • relevant third-party platform requirements.

The current version will be published on this page with an updated “Last updated” date.

Changes will apply to use of the Website after the updated terms are published.

A change to these Website Terms will not, by itself, change an existing Creator Agreement, campaign agreement, content licence or other signed contract.

Any material change to an existing contractual relationship must be handled under the relevant agreement.

28. Restricting access

We may restrict or block access to all or part of the Website where we reasonably believe this is necessary to:

  • protect the Website or another person;

  • investigate fraud or misuse;

  • prevent unlawful conduct;

  • respond to a security threat;

  • comply with a legal obligation; or

  • enforce these terms.

Where appropriate, we may also preserve relevant records and report suspected unlawful conduct to the appropriate authority.

29. Transfer of our rights

ShowArc may transfer its rights and responsibilities under these Website Terms to another organisation as part of a lawful:

  • company reorganisation;

  • merger;

  • sale;

  • acquisition;

  • transfer of the Website; or

  • transfer of the relevant part of the business.

Any transfer must not reduce mandatory consumer rights.

Where a transfer materially affects users, ShowArc will take reasonable steps to provide appropriate information.

You may not transfer your rights under these terms to another person without our written permission.

30. If part of these terms is invalid

Each section of these terms operates separately.

If a court or competent authority decides that any section is unlawful or unenforceable, the remaining sections will continue to apply.

31. Delay in enforcing these terms

If ShowArc does not immediately enforce a right under these terms, that does not mean the right has been waived.

We may still enforce that right later.

32. Third-party rights

Unless these terms expressly state otherwise, no person other than you and ShowArc has the right to enforce them.

This does not affect any separate rights belonging to TikTok or another intellectual-property owner.

33. Governing law and courts

These terms are governed by the laws of England and Wales.

If you are a consumer living in England or Wales, you may bring legal proceedings in the courts of England and Wales.

If you are a consumer living in Scotland, you may generally bring legal proceedings in either the Scottish courts or the courts of England and Wales.

If you are a consumer living in Northern Ireland, you may generally bring legal proceedings in either the Northern Irish courts or the courts of England and Wales.

If you are a business user, the courts of England and Wales will have exclusive jurisdiction over disputes arising from use of the Website.

Nothing in this section removes any mandatory rights you may have under the laws applying where you live.
